This is an Agreement between you and Koobit. Please read these terms with care. This Agreement outlines the rules and regulations of the affiliate program for Koobit.
By participating in the affiliate program, you agree that you have read and understood these Terms and Conditions and agree to be legally responsible for each and every term and condition herein.
In this Agreement, the following definitions will apply.
“Koobit” is registered company Discovery Systems Limited.
“Affiliate” or “Affiliates” are the individuals or entities in the affiliate application that intend to participate in the affiliate program and who will legally be bound by the Terms and Conditions herein.
“Sellers” are individuals and entities that offer tickets and related products and services for sale to customers.
“Customers” are the individuals and legal entities that are the end users and buyers of sellers’ products and services.
“Affiliate Program” means the program operated by Koobit, to which the affiliates are enrolled and rewarded in the form of monetary compensation for referring customers.
“Affiliate Link” is the personal link from an affiliate participating in the affiliate program, used to track referrals and commissions. The link is located at the affiliate’s website and promotional channels, and when clicked on by a potential customer, it directs to Koobit’s website.
“Affiliate Referral” is a potential customer who was led to Koobit’s website with the use of the affiliate link.
“Seller Referral” is a potential customer who was led from Koobit’s website to a seller’s website.
“Commission” means the money that an affiliate earns from each affiliate referral that generates a seller referral that converts to a commissionable sale on the seller’s website.
To be eligible to join the affiliate program, you must agree to the affiliate program terms and conditions, be at least 18 years old, and have a functioning website.
In the application, you must provide your full name, website address, and any additional information asked. After signing up for the program, we will review your application. We reserve the right and sole discretion to reject your application, and re-evaluate your application at any point in time.
You are only allowed to create and use one affiliate account unless otherwise agreed in writing.
You will receive a confirmation email of your participation when the application is approved. After approval, you will be emailed information on how to set-up affiliate links.
The affiliate’s main role is to operate as a marketing promoter of Koobit, and to introduce potential customers to Koobit’s website. The affiliate is allowed to use their affiliate link on their website and refer potential customers to Koobit.
As a participant in the program, you have the right to market and promote the services of Koobit. To do this, you may use text links or materials provided to you by Koobit such as banners and embeddable widgets.
The affiliate is responsible for keeping information on their website and in their promotions up to date.
As a condition to your participation in the affiliate program, you agree that while you are an affiliate of Koobit, you will comply with all laws, ordinances, rules, regulations, orders, licenses, permits, judgments, decisions, or other requirements (collectively, “Laws”) of any governmental authority that has jurisdiction over you.
This is regardless of whether those Laws are now in effect or later come into effect during the time you are an affiliate or participating in the affiliate program, including, without limitation, during the application process.
Without limiting the foregoing obligation, you agree that as a condition of your participation in the affiliate program, you will comply. By participating in the program, the affiliate agrees that their website and other promotional channels does not contain or promote:
Any misleading information or stealth practices to set an affiliate cookie on the potential customer's device is forbidden. This includes any campaigns that aim to mislead the potential customer by representing as Koobit.
The affiliate shall act in Koobit’s interest and in compliance with all relevant and applicable regulations and ethical standards.
When an affiliate generates an affiliate referral, a 30-day cookie is sent to the customer’s device.
During the 30-day cookie window, each time a seller referral is generated that converts to a commissionable sale on the seller’s website, the affiliate can earn commission.
The commission is a share of the net commission (commission after any applicable sales tax deducted) that Koobit receives from the seller for the sale. Affiliate commission is currently a 40% share of the net commission.
It is important to note that commissionable sellers will often provide exclusions to commission such as during presales windows or on particular product and service types, and these same exclusions will apply to affiliate commission. Additionally, Koobit provides links to a wide range of sellers and third-party websites that are not tracked nor commissionable and the affiliate will not earn commission for these types of seller referrals.
For the avoidance of doubt, the affiliate is only entitled to commission on seller referral sales that Koobit has been awarded commission from the seller and are identified as sourcing from an applicable affiliate referral.
Both affiliate referrals and seller referrals rely on cookies. If the user’s device does not accept cookies or they are deleted, then a sale cannot be tracked. No commission is generated if the sale cannot be tracked and attributed to the affiliate.
Affiliate referral attribution operates on a “last click” policy. This means that if an affiliate referral cookie already exists on a customer’s device and then, at a later date and time, a different affiliate or third-party generates a referral to Koobit from their website, then the existing affiliate referral cookie may be replaced or deleted, and the seller referral and any commission owed will be attributed to the most recent referral source.
Affiliate commission is confirmed once the seller has paid Koobit the commission. Each seller has different payment periods and so your commission will be paid dependent on the relevant seller. In the case of ticket sales, many sellers only pay after the event has successfully taken place.
Sellers may amend or cancel sales and relevant commission at their discretion, and this will be reflected in the affiliate commission. Whilst, in practice, commission amendments should occur prior to commission payment; if in exceptional circumstances the seller amends or cancels commission after payment or Koobit identifies an error in the commission or payment, Koobit reserves the right to demand the payment amount be returned from the affiliate or offset the amount against future affiliate payments; and the affiliate agrees to efficiently comply with such demands.
Confirmed commissions are paid to the affiliate monthly when the affiliate has reached a minimum threshold of GBP £50.00 confirmed commission (or currency equivalent).
Our payout method is bank transfer (select currencies) or PayPal. It is the affiliate’s responsibility to provide us with correct payment details. Koobit will pay the sender’s fees for affiliate commission, but any receiving fees may be deducted from the received commission amount by your financial institution.
You also have the right to terminate this Agreement at any time by informing us in writing by email.
We may make amendments to the Affiliate Terms and Conditions that materially adversely affect your benefits under the Program by giving you thirty 30 days’ notice (“Amendment Notice Period”) in advance prior to its effectiveness by emailing you.
Should you disagree with such an amendment, you may terminate this Agreement within the Amendment Notice Period, effective on its expiry by informing us in writing.
When an affiliate account is terminated by the affiliate, unpaid commission above GBP 25.00 will be paid out. Any commissions under GBP 25.00 will be voided.
Koobit may terminate your affiliate Agreement at its discretion by giving you 30 days’ notice and informing you in writing by email. Koobit may terminate your affiliate Agreement or suspend access to the affiliate program with immediate effect and without prior notice in the circumstances of suspected fraud, abuse, or a breach of this agreement.
Koobit provides no warranty or representation regarding the Affiliate Program, its availability, or the accuracy and completeness of the tracking and reporting systems. The Affiliate Program is provided on an "as is" basis.
Inevitably there will be maintenance windows or other downtime to Koobit’s website. You accept that we are not obliged to inform you of these periods and that you will be unable to earn commission during downtime and as such no claims for fees can be made.
In no event shall Koobit be liable for any indirect, consequential, or special damages arising out of or in connection with the Program, including but not limited to lost profits or loss of business opportunities.
This Agreement is governed by the law of England and Wales. Any action relating to these Terms and Conditions must be brought in the courts of England and Wales, and you irrevocably consent to the jurisdiction of such courts.
